Article 1: Name and Purpose

  1. The name of the organization shall be the Democrat Club of Christian County.

  2. Its purpose shall be to foster growth and development of the Democratic Party at all levels; to disseminate information to our members, leaders and the public; to provide a forum by which all interested parties receive accurate and concise information relating to government; and to provide a forum for reasoned debate of issues. Consistent with its purpose, the organization may endorse Democratic candidates for office and may take a position on any issue.

  3. The Democrat Club of Christian County is listed with the Missouri Ethics Committee as a continuing committee.

Article 2: Membership and Meetings

  1. Membership in Democrat Club of Christian County shall be open to anyone who supports the goals and purposes of the organization.

  2. Voting Members - any member of the organization shall have voting privileges upon payment of annual dues set by the Board of Directors.

    • Membership shall be renewed on an annual basis with dues payable in January of each year or upon initial joining of the organization. New members joining the Democrat Club of Christian County after November 1 on any year shall be members for the remainder of that year and the following year.

    • Only voting members whose current dues have been paid shall be eligible to serve as the Democrat Club of Christian County officers or members of the Board of Directors.

    • Membership dues shall be set by the Board of Directors and submitted to the voting members for approval. Any change in the amount of dues shall be set prior to January of the year in which the change shall take place.

    • Any member of a Democratic organization at any college or university, who has paid dues to that college or university organization, may become a member of the Democrat Club of Christian County upon payment of dues which shall be set at 50% of the voting membership dues.

  3. Non-voting Members - Any person active in The Democrat Club of Christian County shall have non-voting membership status.

  4. Meetings shall be set by the Board of Directors, but in no case shall the organization meet less than six (6) times per year. The Secretary shall ensure that members are notified of meetings.

  5. A quorum of 25% of the voting members shall be required for the conduct of business.

Article 3: Officers

  1. The Officers of the Democrat Club of Christian County shall be a President, Vice President, Secretary, and Treasurer, and shall be elected in that order.

  2. Officers shall be elected by the voting members of the organization. Each officer shall also serve concurrently on the Board of Directors.

    • Officers shall be elected at the first meeting of the organization held in November of each year and take office on January 1.

    • Any voting member of the organization at the November meeting may make nominations for officers.

    • Officers shall serve a term of one (1) year. They shall be limited to serving four (4) consecutive terms. They may be re-elected after a one (1) year break.

    • Vacancies caused by resignation or removal occurring between regular elections shall be filled for the remainder of that term by vote of the members of the organization in accordance with all provisions of these ByLaws.

Article 4: Board of Directors

  1. There shall be a Board of Directors consisting of seven (7) members of the organization. The officers of the organization shall automatically fill four (4) positions on the Board, with three (3) at-large Board members from the eligible members. The Board of Directors shall manage the business and affairs of the organization.

    • The Board of Directors shall be elected at the first meeting of the organization held in November of each year.

    • Nominations for the Board of Directors may be made by any voting member of the organization.

    • Directors shall serve a term of one (1) year. They shall be limited to serving four (4) consecutive terms. They may be re-elected after a one (1) year break.

    • A written reminder of their responsibilities will be sent to any Board Member who fails to attend three (3) consecutive general meetings of the organization without a prior excuse. And may be subject to removal after four (4) consecutive absences without a prior excuse.

    • Vacancies on the Board of Directors caused by resignations or removal occurring between regular elections shall be filled by vote of the members of the organization in accordance with all provisions of these Bylaws.

  2. The Board of Directors shall establish policies and priorities of the Democrat Club of Christian County and implement that policy by approving programs consistent therewith.

  3. Any member of the Board of Directors may be removed upon an affirmative vote of two-thirds of the members of the organization.

Article 5: Duties of Officers

  1. President

    • Shall be the chief executive officer of the organization; preside at all meetings of the organization; have general and active management of the business of the organization; and see that all requests and resolutions of the Board of Directors are carried into effect.

    • Shall appoint all Committee Chairs and members.

    • Shall serve as an ex-officio member of all committees.

    • Shall execute contracts and other instruments of business authorized by the Board of Directors and/or the membership.

    • Shall co-sign checks for all disbursements made by the Treasurer.

  2. Vice-President

    • Shall take over the duties of the President in the absence of the President.

    • Shall perform such duties as may be delegated to him/her by the President.

  3. Secretary

    • Shall be responsible for recording the minutes of all meetings of the organization.

    • Shall oversee the maintenance and custody of the records, and keep and maintain a list of all members and persons who support the organization.

    • Shall exercise the powers and perform such other duties usually incident to the office of Secretary or as may be designated by the President.

    • Shall oversee the notification of meetings of the organization.

  4. Treasurer

    • Shall have the custody of the funds and shall keep full and accurate accounts of receipts and disbursements in books belonging to the organization.

    • Shall disburse by check the funds of the organization as directed by the Board of Directors and President, and sign checks along with the President.

    • Shall render at each general meeting of the organization a written account of all transactions of the treasurer and the financial condition of the organization.

    • Shall exercise the powers and perform such other duties usually incident to the office of Treasurer or as may be designated by the President.

    • The Treasurer shall make all necessary reports relative to the collection and expenditure of funds as is required by law. Copies of such reports shall be provided to the president as filed.

Article 6: Committees

  1. The President shall appoint such committees as deemed necessary to implement the policies of the organization. Any committees so created shall report and be responsible to the President.

  2. The President shall serve as an ex-officio member of all committees.

Article 7: Expenditure of Funds

  1. The Treasurer shall have the power to expend funds up to $50.00 for the normal operations of the organization.

  2. An audit committee appointed by the president shall conduct an annual review of the organization’s revenues and expenditures. This committee may include officers (not the President or Treasurer) and club members. At least half of the committee must be non-officer members. The committee should not be made up of the same people every year.

Article 8: Amendments

The voting members shall have the power to amend or repeal the Bylaws, as they deem necessary to insure the effectiveness of the Democrat Club of Christian County in pursuing its goals and objectives. Any change shall be approved by a simple majority of the members present. Changes to the Bylaws will be voted on at the next regularly scheduled meeting after they are presented to the members.

Article 9: Parliamentary Authority

The most recent edition of Robert’s Rules of Order shall govern the conduct of business in any matter not addressed otherwise by these bylaws.
